"Quartzite AI" (the "App") is provided to you by CMD Shift Studio ("we," "us," or "our"). By accessing or using the App, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the App.
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for your personal or internal business purposes. This license is limited to the duration of your use of the App and is intended for one user only. You are not allowed to share your license key with anyone else. Each license key can be used on 5 devices, which is typically enough for 1 user. If you need to use it on more devices, you can buy a new license key or add more devices to your existing license key.
We reserve the right to change the Pricing and plans in the future, at our sole discretion. We will provide advance notice to users regarding any changes to the pricing structure, allowing users to make an informed decision. Quartzite's features can change in the future, including adding and removing features, restricting the list of features available in the free/paid plan, open source some parts or all of the app source code. In such cases, you will not receive a refund of your purchase (unless your purchase is still within the 14-day refund period).
A "Lifetime deal" purchase is intended for one user only. If the user wants to use team collaboration capabilities, additional users are to be billed separately. Your license key is a lifetime license and never expires. We will continue to update Quartzite AI with new features and upgrades in the future. By default, all future upgrades are provided to you for free, however, we reserve the right to sell future upgrades at an additional purchase if we think it is reasonable. The "Lifetime Deal" is to be considered as the lifetime of the product. In the event that Quartzite AI discontinues its service (for example, due to going out of business or other reasons), a self-hosting version will be made available. In such case, it's care of the user to install it and handle its maintainance, hosting, and other associated costs. The self-hosting version is meant for personal use. The user cannot therefore sell or distribute the App.
Usage of OpenAI (or other 3rd party APIs) is billed separately. We provide a rough estimation of the usage of these APIs, but it's up to the user to take the appropriate precautions and to monitor their actual usage and spending.
The App does not guarantee the accuracy or completeness of any information provided by users. Users are solely responsible for verifying the accuracy of their own information and any content generated through the App.
Users must comply with all applicable laws and regulations, including intellectual property laws, when using the App. Users are responsible for ensuring that their use of the App does not infringe upon the rights of any third party.
All purchases are refundable within 14 days of purchase. If you are not satisfied with the product, please contact us. After the 14-day refund period, no refunds will be issued, regardless of the reason for cancellation. This includes changes to the App's features, discontinuation of the App, or inability to use the App due to reasons beyond our control.
The App is provided "as is" and "as available" without any warranties, representations, or guarantees regarding its performance, reliability, or suitability for a particular purpose. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We're not responsible for bugs or misuse of our app. It will be provided without warranty and it's up to the user to make sure that it's not overbilled.
To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the App; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the App; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App.
You agree to defend, indemnify, and hold us and our officers, directors, employees, agents, successors, and assigns harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the App.
We reserve the right to modify, suspend, or terminate these Terms at any time and will post the updated Terms on the App. Your continued use of the App after such modifications will constitute your consent to the updated Terms. The usage of the app is conditional on the acceptance of the terms and conditions. If an update of the conditions should not be accepted, no replacement or refund will be offered.
